Beacon Hill Legal's client is seeking a temporary corporate IM paralegal for a remote opportunity based out of their Manhattan New York office. This firm is a global institutional investment management firm. The firm's culture is based on a commitment to a collegial environment, global teamwork, and the highest ethical standards. The Temporary Corporate/IM Paralegal will work closely with a team of attorneys who are responsible for all legal matters relating to the firm's fund offerings, as well as general corporate matters, including, governance, employment issues, third party engagements, information security and data privacy. This position is expected to be needed from late May through at least the end of September to cover for an employee who is going on maternity leave.

Responsibilities:

• Formation of fund and other related entities
• Maintain and control fund-related and management company documentation
• Coordinate responses to due diligence and regulatory compliance (e.g., AML/KYC, ERISA, FOIA)
• Review and negotiate confidentiality agreements, statements of work and renewals with third-party vendors hired by the firm.
• Maintain side letter compliance system
• Manage investor requests for confirmations and other documentation
• Review marketing materials, investor presentations, RFPs, and due diligence questionnaires.
• Coordinate board meetings and prepare board packages; draft board and GP resolutions.
• Lead coordinator for recurring and special projects.

Qualifications:

• Bachelor's degree.
• Prior professional experience at a law firm and/or a hedge fund/private equity fund manager.
• Knowledge of common fund structures and familiarity with common fund terms and documentation; knowledge of compliance issues helpful.
• Expertise in Microsoft Office Suite
• Experience using document management systems (e.g., iManage)
• Experience using diagramming graphics applications (e.g., Visio) is a plus
