Job Description

The Corporate Strategy Analyst is a member of our Corporate & Securities - Technology practice section and is responsible for managing and maintaining capitalization records and stock option plan databases for our corporate clients. The Analyst works with other members of the practice section to ensure accurate and timely recording of various debt and equity securities transactions and providing analysis of, and modelling based on capitalization records as requested.

Primary Responsibilities:

  • Ownership of client capitalization database (e.g., Carta, Shareworks, Pulley), including:
    • Processing sales, transfers and cancellations of equity or debt securities
    • Processing equity award grants, transfers, cancellations, and exercises
    • Updating capitalization records following a financing or other material security-related event
    • Processing employee terminations and updating vesting schedules related thereto
    • Ensuring corporate approval compliance
  • Assist with the drafting and filing federal and blue sky securities filings and notices.
  • Ensuring that all capitalization records are complete, fully executed, and filed and stored correctly in the client's minute book and applicable database.
  • Review, manipulate and provide information from excel and generated capitalization databases and spreadsheets.

Qualifications
  • Bachelor's Degree, preferably in Business, Accounting, Finance, or related work experience.
  • Prior experience with Carta, Shareworks or other capitalization management software
  • Demonstrate knowledge of capitalization fundamentals.
  • The ability to read and interpret spreadsheets, plan documents and security-related agreements.
  • Understanding of transaction types and securities law requirements.
  • Proficiency in Excel, including database sorting, formulas and functions, analysis, and modelling.
  • Basic understanding of equity compensation accounting.
  • Ability to maintain the integrity of highly confidential information.
  • ECA designation or CEP certification is a plus.
