Mercer's US Corporate Legal Team is seeking candidates for a Corporate Counsel position located in New York City or Boston area.:

What you can expect:

  • The Counsel will be an integral part of a dynamic legal team serving Mercer's consulting business unit in the US.
  • The Counsel will report directly to a Senior Assistant General Counsel in New York City, and will work closely with the US Corporate Legal Team comprised of 12 attorneys and 3 paralegals, most of whom have been with the company for over 10+ years.
  • The Counsel will also have opportunities to work directly with the Mercer's global legal and compliance teams. In addition, the Counsel will have opportunities to work with attorneys across Marsh McLennan.
  • The Counsel's primary responsibilities include:
    • Drafting, reviewing and negotiating a wide range of contracts, including client services agreements, domestic engagement letters, global master services agreements, statement of work, consulting agreements, vendor agreements and data privacy agreements.
    • Providing advisory services and serving as a trusted advisor to Mercer's business consultants and various levels of Mercer's management on all aspects of Mercer's health, wealth (other than investment consulting/investment management) and career businesses in the US.

    • Keeping abreast of new and changing laws and regulations.

We will count on you to:
  • Keep up with industry-related standards and changes, as well as specific regulatory changes.
  • Balance business and growth priorities with the company's need to manage risk.
  • Advise the Mercer business consultants of potential contractual conflicts and propose solutions in compliance with company policies, laws and regulations.
  • Promote integrity and enforce the company's policies and procedures consistently.

What you need to have:
  • Minimum 2-5 years of working experience in a law firm and/or in-house corporate legal department working with contracts and commercial transactions.
  • Excellent written and oral communication skills.
  • Track record of effectively working independently as well as a part of a team and exercising good consistent judgment.
  • Proven ability to manage multiple work streams simultaneously and to see tasks through to completion.
  • JD from accredited US law school and be admitted to the bar in New York or in the location where the position will be based.

  • Industry experience in brokerage or insurance regulation.
  • Exposure to specialty areas such as data privacy, health law and antitrust a plus.
  • Ability to collaborate across levels and business units effectively.

  • Proven ability to negotiate effectively and efficiently.
  • Extensive experience in drafting and negotiating contracts.
