Due to demand and growth, we are looking for an Associate General Counsel to join our team. We are ideally looking for someone with at least 10 years practicing at a national law firm and/or in-house legal department, focusing on corporate and commercial transactional work. If you have contracts, hardware company experience, regulatory, securities law and corporate governance experience, we want to talk to you!
What You Will Be Doing - Closely collaborate with the CLO and business stakeholders across the organization to create and drive operational and strategic initiatives that provide outcomes on time and under budget.
- Assist in balancing corporate and contractual legal risk with business opportunities and goals by serving as a cross-functional adviser to our teams on corporate law and commercial contracting issues.
- Oversee all corporate legal activity for the business, such as: preparing Forms 8-K, 10-Q, 10-K, Section 16 filings, and Proxy Statements, as well as other business regulatory filings with a focus on '34 Act compliance.
- Assist with the creation of quarterly earnings release materials and provide guidance on securities law compliance and disclosure issues, such as disclosure controls and processes.
- Whenever necessary, assist with capital market and associated financial activities.
- Help in corporate governance issues, such as ensuring compliance with company rules and creating board and committee documentation like minutes and consents.
- Advise our teams on legal matters and hazards in contractual partnerships, assisting our commercial legal team members in reducing contractual risk.
What You Need for this Position - At least 10 years practicing in corporate and commercial transactional work at a national law firm and/or in-house legal department
